1. Purpose

This document governs the terms and conditions for access to and participation in the XCALION Distributor Program (hereinafter, “the Brand”).

Registration as a distributor does not imply automatic acceptance. All applications will be reviewed and validated in advance by the XCALION team.

2. Registration Process

  1. The applicant must complete the registration form with accurate and complete information.
  2. The application will be reviewed by XCALION.
  3. The applicant will receive an email notification informing:
    1. Whether the application has been approved, or
    2. If additional information is required.

XCALION reserves the right to reject any application without the obligation to provide justification.

3. Professional Status Requirement

The Program is exclusively intended for:

  • Legally established companies.
  • Industry professionals.
  • Authorized distributors and specialized retailers.

Registration by end consumers is not permitted.

4. Pricing Policy

Distributor prices displayed:

  • Are confidential.
  • May not be disclosed to third parties.
  • May be subject to specific volume conditions or individual agreements.

XCALION reserves the right to modify prices, discounts, and commercial terms without prior notice.

5. Use of the Brand

The distributor may use the XCALION brand exclusively for:

  • Authorized product commercialization.
  • Approved promotional activities.

The following is strictly prohibited:

  • Modifying logos.
  • Altering visual identity.
  • Using the brand for unauthorized products.

6. Taxation and VAT

European distributors must provide a valid VAT number where applicable.

In the case of intra-community transactions:

  • VAT exemption will be subject to VIES validation.
  • If the VAT number is not valid, the corresponding VAT will be applied.

7. Cancellation or Suspension

XCALION may suspend or cancel a distributor account in the event of:

  • Breach of these terms and conditions.
  • Misuse of the brand.
  • Violation of commercial policies.

8. Confidentiality

All commercial information, pricing, special conditions, and documentation provided to the distributor shall be considered confidential.

9. Amendments

XCALION may update these terms and conditions at any time.
Any modifications will be published on this same page.

10. Governing Law

These terms and conditions shall be governed by Spanish law.
