1. Purpose<\/h2>\n

This document governs the terms and conditions for access to and participation in the XCALION Distributor Program (hereinafter, \u201cthe Brand\u201d).<\/p>\n

Registration as a distributor does not imply automatic acceptance. All applications will be reviewed and validated in advance by the XCALION<\/strong> team.<\/p>\n

2. Registration Process<\/h2>\n

<\/p>\n

  1. The applicant must complete the registration form with accurate and complete information.<\/li>\n
  2. The application will be reviewed by XCALION.<\/li>\n
  3. The applicant will receive an email notification informing:\n
      \n
    1. Whether the application has been approved, or<\/li>\n
    2. If additional information is required.<\/li>\n<\/ol>\n

      <\/ol>\n

      XCALION reserves the right to reject any application without the obligation to provide justification.<\/p>\n

      3. Professional Status Requirement<\/h2>\n

      The Program is exclusively intended for:<\/p>\n

        \n
      • Legally established companies.<\/li>\n
      • Industry professionals.<\/li>\n
      • Authorized distributors and specialized retailers.<\/li>\n<\/ul>\n

        Registration by end consumers is not permitted.<\/p>\n

        4. Pricing Policy<\/h2>\n

        Distributor prices displayed:<\/p>\n

          \n
        • Are confidential.<\/li>\n
        • May not be disclosed to third parties.<\/li>\n
        • May be subject to specific volume conditions or individual agreements.<\/li>\n<\/ul>\n

          XCALION reserves the right to modify prices, discounts, and commercial terms without prior notice.<\/p>\n

          5. Use of the Brand<\/h2>\n

          The distributor may use the XCALION brand exclusively for:<\/p>\n

            \n
          • Authorized product commercialization.<\/li>\n
          • Approved promotional activities.<\/li>\n<\/ul>\n

            The following is strictly prohibited:<\/p>\n

              \n
            • Modifying logos.<\/li>\n
            • Altering visual identity.<\/li>\n
            • Using the brand for unauthorized products.<\/li>\n<\/ul>\n

              6. Taxation and VAT<\/h2>\n

              European distributors must provide a valid VAT number where applicable.<\/p>\n

              In the case of intra-community transactions:<\/p>\n

              • VAT exemption will be subject to VIES validation.<\/li>\n
              • If the VAT number is not valid, the corresponding VAT will be applied.<\/li>\n<\/ul>\n

                7. Cancellation or Suspension<\/h2>\n

                XCALION may suspend or cancel a distributor account in the event of:<\/p>\n

                  \n
                • Breach of these terms and conditions.<\/li>\n
                • Misuse of the brand.<\/li>\n
                • Violation of commercial policies.<\/li>\n<\/ul>\n

                  8. Confidentiality<\/h2>\n

                  All commercial information, pricing, special conditions, and documentation provided to the distributor shall be considered confidential.<\/p>\n

                  9. Amendments<\/h2>\n

                  XCALION may update these terms and conditions at any time.
                  Any modifications will be published on this same page.<\/p>\n

                  10. Governing Law<\/h2>\n
